Respective roles of the Chairman and the Chief Executive
Regent's College, ‘the Charity’, is
led by two key people:
1. The Chairman of the Board of
Trustees, subject to the approval and oversight of the Board as
a whole, is responsible for all matters concerning
governance. (The Trustees are
non-Executive Directors of Regent’s College.)
2. The Chief Executive is
responsible to the Board for all executive and operational
matters.
Both the Chairman and the Chief Executive have a clear and
agreed understanding of their respective roles and
responsibilities
The Role of the Chairman
Compliance Responsibilities and Integrity of the
Business
The Chairman, on behalf of the Board, is responsible for:
- Ensuring that Regent’s College is run on a sound financial and
commercial basis and within the remit of the Governing Document
(Memorandum and Articles of Association).
- Ensuring that the Executive Directors and Senior Management
Team of Regent’s College are carrying out their respective duties
prudently, ethically and in full compliance with the law.
- Ensuring that full financial records are kept for all
transactions and that proper financial procedures and controls are
in place to safeguard Regent’s College’s resources and
assets.
- Ensuring that accounts are prepared at year-end and submitted
in compliance with the SORP Accounting for charities to the Charity
Commission.
General Trustees’ Board Responsibilities
The Chairman, on behalf of the Board, is responsible for:
- Planning, with the Company Secretary, the annual cycle of the
Board’s meetings and chairing these to ensure they run efficiently
and effectively.
- Planning, with the Chief Executive and the Company Secretary,
the agenda of the Board’s meetings.
- Ensuring that the Board’s decisions are made and implemented
within the remit of the Governing Document (Memorandum and Articles
of Association).
- Ensuring that the Board reviews the work of Regent’s
College.
- Ensuring that the Board is properly balanced and directed,
concentrating on issues that are relevant, where it can add value
to Regent’s College without interfering with detailed internal
management.
- Ensuring, with the Chief Executive and Company Secretary, that
members of the Board receive accurate, timely and clear information
about the performance of Regent’s College.
Succession Planning Responsibilities
The Chairman, on behalf of the Board, is responsible for:
- Ensuring that successors for key roles (Trustees, Chief
Executive, Company Secretary, Auditors, Legal and Tax Advisers and
Consultants to the Board) are identified in good time.
- Ensuring that the recruitment, induction and appointment of
Trustees are carried out within the remit of the Governing Document
(Memorandum and Articles of Association).
Miscellaneous Responsibilities
The Chairman, on behalf of the Board, is responsible for:
- Ensuring that the performances of the Chief Executive and
Company Secretary are annually appraised.
- Ensuring that the Chief Executive and the Senior Management
Team (including Executive Directors) are performing to the required
standards.
- Overseeing the implementation of the strategy of Regent’s
College, subject to the approval and oversight of the Board as a
whole.
- Promoting goodwill and building good personal relationships
with all the stakeholders of Regent’s College.
